Terms of Service

Terms for using OptAlgo.

These terms are a practical draft for a public landing page, pilot request workflow, academic access request workflow, and future client portal. They should be reviewed by legal counsel before production use.

1. Acceptance of terms

By using the OptAlgo website, submitting a contact request, requesting a pilot, requesting academic access, or accessing a future OptAlgo workspace, you agree to these terms. If you do not agree, do not use the website or services.

2. What OptAlgo provides

OptAlgo provides planning-improvement software, pilots, reports, and related services for shop scheduling and fleet routing. Early services may include discovery, data review, baseline reconstruction, scenario comparison, KPI reporting, and secure workspace access.

3. Pilot requests and proposals

Submitting a pilot request does not create a client relationship, guarantee acceptance, or require OptAlgo to provide services. Any paid pilot, deployment, integration, or production engagement must be governed by a separate written proposal, statement of work, or agreement.

4. Academic access

OptAlgo may offer free academic access for approved non-commercial teaching and research. Academic access may include documentation, benchmark materials, examples, limited software access, or other research materials at OptAlgo's discretion.

Academic access may not be used for commercial services, paid consulting, production operations, client work, resale, sublicensing, or the benefit of another organization unless OptAlgo gives written permission. OptAlgo may approve, deny, limit, suspend, or end academic access at any time.

5. Accounts and client portal

Future portal access may require an account. You are responsible for keeping login credentials confidential and for activity under your account. OptAlgo may disable access if it believes an account is misused, insecure, inactive, or in breach of these terms or another agreement.

6. Data you provide

You are responsible for ensuring that you have the right to provide any data, files, operational material, or messages you submit to OptAlgo. You should not submit highly sensitive data unless an appropriate confidentiality agreement, security process, or project agreement is in place.

7. Confidentiality

When pilot, workspace, or project materials are marked confidential or reasonably understood to be confidential, each party should protect them with reasonable care and use them only for the intended evaluation or service purpose. Specific confidentiality terms in a signed agreement will control over this public page.

8. Intellectual property

OptAlgo and its materials, software, designs, reports, website content, documentation, models, workflows, and platform concepts remain owned by OptAlgo or its licensors. You may not copy, reverse engineer, resell, sublicense, or redistribute OptAlgo materials except as allowed by a written agreement.

You retain ownership of data and materials you provide. You grant OptAlgo the limited right to use them to respond to your inquiry, evaluate a pilot, provide agreed services, operate the workspace, and improve the quality and reliability of the service, subject to any applicable written agreement.

9. Results and decision support

OptAlgo provides planning scenarios and decision-support outputs. Results depend on the accuracy, completeness, and assumptions of the data provided. You remain responsible for business, operational, compliance, safety, labor, and financial decisions made using any output.

10. Acceptable use

You may not use the website, portal, or materials to break the law, harm systems, overload services, attempt unauthorized access, extract data without permission, or interfere with OptAlgo's operations. You may not upload malicious code or misleading, unlawful, or infringing material.

11. No warranty

The website and any free, trial, academic, or preview materials are provided as available and without warranties of any kind to the fullest extent permitted by law. Paid services may have specific terms in a separate written agreement.

12. Limitation of liability

To the fullest extent permitted by law, OptAlgo will not be liable for indirect, incidental, consequential, special, punitive, or lost-profit damages arising from use of the website, free materials, academic access, trial access, or preview features. Any liability for paid services will be governed by the applicable written agreement.

13. Third-party services

OptAlgo may use third-party services for hosting, communication, forms, analytics, storage, maps, routing data, authentication, or workspace delivery. Third-party services may be governed by their own terms and privacy policies.

14. Changes and availability

OptAlgo may update the website, services, materials, pricing, academic access, pilot process, or these terms over time. OptAlgo may also suspend or discontinue parts of the website or services.
